Welcome to DigiWebEngine ("we," "our," or "us"). These Terms and Conditions govern your use of our website at digiwebengine.com and the digital services we provide, including website design and development, search engine optimization (SEO), Google Ads management, and social media advertising. By engaging our services or using this website, you agree to these terms in full.
DigiWebEngine provides the following digital services to small and mid-size businesses primarily located in the United States and Canada:
The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate Service Agreement or proposal document agreed upon by both parties before work begins.
To ensure timely and successful delivery of services, you agree to:
Delays caused by late content delivery or slow feedback may affect project timelines and are not the responsibility of DigiWebEngine.
All pricing is quoted and invoiced in US Dollars (USD). Payment terms are as follows:
Accepted payment methods include bank transfer (ACH/wire), Wise, PayPal, and Payoneer. Late payments beyond 14 days may result in service suspension. Overdue invoices beyond 30 days may incur a 1.5% monthly late fee.
Work Product: Upon full payment, the client receives full ownership of the final delivered website code, design files, and custom content created specifically for their project.
Third-Party Assets: Any third-party tools, templates, plugins, stock images, or fonts used remain subject to their respective licenses. DigiWebEngine will inform clients of any such third-party components.
Portfolio Rights: DigiWebEngine reserves the right to display completed work in its portfolio, case studies, and marketing materials unless the client requests otherwise in writing.
Each project includes a defined number of revision rounds as specified in the Service Agreement (typically 2-3 rounds). Revisions beyond the agreed scope, or requests for new features or pages not included in the original agreement, will be quoted separately and require additional approval before implementation.
SEO and Advertising: While we employ industry best practices and proven strategies, DigiWebEngine cannot guarantee specific search engine rankings, traffic volumes, or advertising results. Search engine algorithms and ad platform policies are controlled by third parties (Google, Meta, etc.) and are subject to change without notice.
Website Performance: We build websites following modern web standards for speed, security, and responsiveness. However, website performance may be affected by factors outside our control, including hosting provider uptime, third-party plugin updates, and client-made modifications.
Limitation of Liability: DigiWebEngine's total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific service in question during the preceding 3 months.
By Client: You may terminate services at any time with 14 days written notice. For monthly retainers, the current month's payment is non-refundable. For project work, payment for completed milestones is non-refundable.
By DigiWebEngine: We reserve the right to terminate services with 14 days written notice if payment is overdue beyond 30 days, if the client engages in abusive or threatening behavior, or if the client requests work that is illegal, unethical, or violates platform policies.
Upon termination, all completed work and assets paid for will be delivered to the client within 7 business days.
Both parties agree to keep confidential all proprietary information, business strategies, login credentials, analytics data, and financial information shared during the engagement. This obligation survives termination of services for a period of 2 years.
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, internet outages, server failures, government actions, pandemics, or third-party service disruptions.
Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation between both parties. If a resolution cannot be reached within 30 days, either party may pursue mediation or arbitration. These terms are governed by applicable laws based on the mutual agreement of both parties at the time of contract signing.
DigiWebEngine reserves the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the revised terms. Existing clients under active agreements will be notified of material changes via email.
